Terms of Service

These Terms of Service ("Terms") govern your access to and use of Network Canaries (the "Service"), operated by Network Canaries LLC. ("we", "us", "our") through https://networkcare.io. By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Network Canaries provides network monitoring tools — including ping, HTTP, SSL certificate, and content checks — that probe targets you configure and report on their health. The Service is offered as a software-as-a-service subscription.

2. Beta Status

The Service is currently offered as a private beta. It is provided on an "as is" basis. Features may change, be removed, or break without notice. We do not offer a service-level agreement (SLA), uptime guarantee, or commitment to data preservation during the beta period. Do not rely on the Service as your sole monitoring source for production-critical systems during beta.

3. Account Eligibility

You must be at least 18 years old and able to form a binding contract under applicable law. You are responsible for the accuracy of registration information, the security of your credentials, and all activity under your account. Notify us promptly at [email protected] if you suspect unauthorized access.

4. Acceptable Use

You agree not to use the Service to:

  • Probe, scan, or monitor any network, host, or endpoint that you do not own or are not explicitly authorized to test. You are solely responsible for obtaining authorization for every target you configure.
  • Conduct denial-of-service activity, vulnerability exploitation, credential stuffing, or any activity that would be unlawful in the jurisdiction of either party or of the target.
  • Interfere with the Service's infrastructure, including but not limited to attempting to bypass rate limits, authentication, or tenant isolation.
  • Resell, white-label, or sublicense the Service without our prior written consent.
  • Upload, store, or transmit content that is unlawful, infringing, or that contains personal data of third parties without a lawful basis.

We may suspend or terminate accounts that violate these rules, with or without notice, at our discretion.

5. Subscriptions, Fees, and Billing

Paid plans are billed in advance through our payment processor, Stripe. By subscribing you authorize recurring charges until you cancel. Fees are non-refundable except where required by law. We may change pricing for future billing periods on at least 30 days' notice; price changes do not apply retroactively to a period you have already paid for.

6. Your Data

You retain ownership of the data you upload (including target configurations and labels). You grant us a limited license to process that data solely to operate the Service. Our handling of personal data is described in our Privacy Policy.

7. Service Availability and Changes

We may modify, suspend, or discontinue features at any time. We will use reasonable efforts to notify paid customers in advance of material changes that materially reduce functionality.

8. Termination

You may cancel at any time from your account settings. Cancellation stops future billing; we do not pro-rate refunds for the current period. We may terminate or suspend your account immediately for material breach of these Terms, unlawful use, or non-payment. On termination, your data may be deleted after a reasonable grace period; export your data before cancelling if you need to retain it.

9. Intellectual Property

The Service, including the software, design, and trademarks, is owned by us or our licensors. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. No other rights are granted.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ACCURATE, OR ERROR-FREE. YOU USE THE SERVICE AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.

12. Indemnification

You will indemnify and hold us harmless from claims arising out of (i) your violation of these Terms, (ii) your violation of applicable law, or (iii) your use of the Service to monitor targets you were not authorized to monitor.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction in those courts.

14. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms with a revised Effective Date and, for material changes, notify account holders by email. Continued use of the Service after the Effective Date constitutes acceptance of the updated Terms.
